These Terms & Conditions ("Terms") govern your access to and use of the website trueselph.com (the "Website"), the TrueSelph Platform and Selph Cloud (the "Platform"), the AI agents ("Selphs" or "Agents") and other technology made available by TrueSelph Inc. ("TrueSelph," "we," "us," or "our"), and any content, documentation, or deliverables we provide (together, the "Services").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.

You must be at least 16 years old (or the age of majority where you live, for a Customer Agreement) and not barred from using the Services under applicable law, including trade-sanctions and export-control law. You are responsible for your account credentials and for all activity under your account, and you must notify us promptly of any unauthorized use.
TrueSelph provides agentive AI technology: open-source frameworks, the Platform for building and operating Agents, and Agents that operate on messaging and web channels. Features may change, and we may add, modify, or discontinue parts of the Services as described in Section 12.
Agents and other AI features generate responses automatically using statistical models. AI output can be inaccurate, incomplete, or unsuitable for your situation, and may not reflect TrueSelph's or any customer's views. You should not rely on AI output as professional advice (legal, medical, financial, or otherwise), and you should independently verify anything important before acting on it. Where you make a decision based on AI output, you remain responsible for that decision.
Many Agents you encounter are operated by TrueSelph's customers, who control what the Agent does and the data it handles. When you interact with such an Agent, the operating organization's terms and privacy notice also apply, and your relationship for that service is primarily with that organization. TrueSelph provides the underlying technology. See the Privacy Policy for how data is handled in those interactions.
The Services interoperate with third parties — for example WhatsApp/Meta and other messaging or voice channels, AI model providers, and integrations. Your use of those third-party services is governed by their terms, and we are not responsible for them. Availability of the Services may depend on these third parties.
If you use the Platform to build, configure, or deploy an Agent, you are the controller of the data your Agent processes, and you are responsible for:

You agree not to, and not to allow anyone (including an Agent you deploy) to:
We may suspend or terminate access for violations, and may remove content or disable an Agent that we reasonably believe breaches these Terms or the law.
The Services, including the Website, the Platform, our trademarks (including "TrueSelph" and "Selph"), logos, and all related software and content (excluding Your Content and excluding our open-source code, which is governed by its own license), are owned by TrueSelph or our licensors and are protected by intellectual-property laws. Except for the limited rights expressly granted here or in a Customer Agreement or open-source license, no rights are granted to you by implication or otherwise. You may not use our trademarks without our prior written permission.
Portions of our technology are released as open-source software under their respective licenses. Your use of that software is governed solely by those licenses, and nothing in these Terms limits your rights, or adds obligations, under an applicable open-source license. Our core frameworks jvagent and jvspatial are released under the MIT License; other components may use other open-source licenses (for example, Apache 2.0), as stated in each repository at github.com/TrueSelph.
Access to the Website is provided at no charge. There are no self-serve paid plans on the Website; paid Services are arranged directly with us and invoiced under a Customer Agreement (Order Form, Statement of Work, or similar). Unless that agreement says otherwise, fees are non-refundable and exclusive of taxes, which you are responsible for.
The Services may link to or integrate third-party websites and services. We do not control and are not responsible for them, and their inclusion is not an endorsement. Review their terms and privacy policies before use.
EXCEPT AS EXPRESSLY STATED IN A CUSTOMER AGREEMENT, THE SERVICES AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TRUESELPH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, OR FIT FOR YOUR PURPOSE. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
We may modify, suspend, or discontinue any part of the Services, and we may update these Terms, for operational, legal, or business reasons. For material changes we will provide reasonable notice (for example, by posting an updated "Last updated" date or, for Platform customers, by other notice). Your continued use after changes take effect means you accept the updated Terms.
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or others. On termination, the rights granted to you end; provisions that by their nature should survive (including Sections 6–7, 11, 14–16, and 17) survive. Handling of Your Content after termination is governed by the Privacy Policy and any Customer Agreement.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUESELPH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. TRUESELPH'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TRUESELPH FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US$100. These limits do not apply to liability that cannot be excluded by law. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to defend, indemnify, and hold harmless TrueSelph and its affiliates from claims, damages, and reasonable expenses (including legal fees) arising from (a) your use of the Services, (b) Your Content or an Agent you deploy, (c) your violation of these Terms or the law, or (d) your violation of any third party's rights. Enterprise customers' indemnity and defense terms are set in the applicable Customer Agreement and may override this Section.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You and TrueSelph submit to the exclusive jurisdiction of the state and federal courts located in Delaware, USA for any dispute arising out of these Terms or the Services. Nothing here deprives a consumer of mandatory protections of the law of their country of residence.
